1. Agreement to Terms

By accessing or using StagingGPT ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you do not have permission to access the Service. These Terms constitute a legally binding agreement between you and StagingGPT ("we," "our," or "us").

2. Description of Service

StagingGPT is an AI-powered virtual staging platform that allows users to upload photographs of rooms and generate digitally staged versions using artificial intelligence. The Service includes:

Image upload and processing capabilities
AI-powered virtual staging using multiple models
Various design style presets and custom prompt options
Generation history and image storage
Credit-based usage system

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without prior notice.

3. Account Registration and Security

To use the Service, you must create an account using Google authentication. By creating an account, you represent and warrant that:

You are at least 18 years old or the age of majority in your jurisdiction
All information you provide is accurate, current, and complete
You will maintain the accuracy of your information
You are not prohibited from using the Service under any applicable laws
You will not create multiple accounts for fraudulent purposes

You are responsible for maintaining the security of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

4. Credits, Payments, and Refunds

4.1 Credit System

The Service operates on a credit-based system. Each image generation consumes credits based on the AI model selected. New users may receive complimentary credits. Credits are non-transferable between accounts.

4.2 Purchases

All credit purchases are final upon completion of payment. Prices are subject to change without notice, but changes will not affect credits already purchased. You agree to pay all applicable fees and taxes associated with your purchases.

4.3 Refunds

Due to the nature of AI processing, credits consumed for image generation are generally non-refundable. However, we may provide refunds or credit restoration at our sole discretion in the following circumstances:

Technical failures that prevent image generation
Duplicate charges due to payment processing errors
Service unavailability that prevents use of purchased credits

Refund requests must be submitted within 14 days of the issue occurring. We reserve the right to deny refund requests that we determine to be fraudulent or abusive.

4.4 Credit Expiration

Purchased credits do not expire as long as your account remains active. Complimentary or promotional credits may have expiration dates, which will be communicated at the time they are granted.

5. User Content and Licenses

5.1 Your Content

"User Content" refers to any images, photographs, text, or other materials you upload to or create through the Service. You retain ownership of your original User Content. By uploading content, you grant us a limited, non-exclusive, royalty-free license to:

Process, store, and transmit your content to provide the Service
Create derivative works (staged images) from your uploaded photos
Display your content back to you within the Service

5.2 Content Representations

By uploading content, you represent and warrant that:

You own or have the necessary rights and permissions to use and authorize us to use the content
The content does not infringe upon the intellectual property rights, privacy rights, or any other rights of any third party
You have obtained all necessary consents from any identifiable individuals in the images
The content does not violate any applicable laws or regulations

5.3 Generated Content Ownership

AI-generated staged images created through the Service are provided to you for your use. You may use generated images for personal and commercial purposes, including real estate listings, marketing materials, and social media. However, you acknowledge that:

AI-generated content may not be eligible for copyright protection in all jurisdictions
Similar outputs may be generated for other users using similar inputs
We make no claims regarding exclusive ownership of AI-generated outputs

6. Prohibited Uses

You agree not to use the Service to:

Upload content containing nudity, sexually explicit material, or pornography
Upload content depicting violence, gore, or graphic imagery
Upload content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
Upload images of minors without parental consent
Upload content that infringes on intellectual property rights of others
Create fraudulent or misleading real estate listings (staged images must be disclosed as virtually staged)
Impersonate any person or entity or misrepresent your affiliation
Attempt to gain unauthorized access to the Service, other accounts, or computer systems
Interfere with or disrupt the Service or servers
Use automated systems, bots, or scripts to access the Service without authorization
Reverse engineer, decompile, or attempt to extract the source code of our AI models
Resell, redistribute, or sublicense access to the Service without authorization
Use the Service for any purpose that violates applicable laws or regulations

We reserve the right to remove any content and terminate accounts that violate these prohibitions without notice or refund.

7. Virtual Staging Disclosure

When using AI-generated staged images for real estate listings or marketing, you are responsible for complying with all applicable disclosure requirements. Many jurisdictions require that virtually staged images be clearly labeled as such. You agree to:

Clearly disclose that images have been virtually staged when required by law or industry regulations
Not represent virtually staged images as photographs of actual furnished spaces
Comply with all real estate advertising laws and regulations in your jurisdiction
Follow the guidelines of any MLS (Multiple Listing Service) or real estate platforms you use

Failure to properly disclose virtual staging may result in legal liability for which you are solely responsible.

8. Intellectual Property

The Service, including its original content, features, functionality, design, and branding (excluding User Content), is owned by StagingGPT and is protected by copyright, trademark, and other intellectual property laws. Our trademarks and trade dress may not be used without our prior written consent. Nothing in these Terms grants you any right to use our trademarks, logos, or other brand features.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

To the fullest extent permitted by law, we disclaim all warranties, including but not limited to:

Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
Warranties that the Service will be uninterrupted, error-free, or secure
Warranties regarding the accuracy, reliability, or quality of AI-generated content
Warranties that the Service will meet your specific requirements or expectations
Warranties that any errors or defects will be corrected

AI-generated content may contain inaccuracies, artifacts, or unrealistic elements. You are responsible for reviewing all generated content before use. We do not guarantee that generated images will be suitable for any particular purpose, including real estate listings.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STAGINGGPT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

This includes, without limitation, damages for:

Loss of profits, revenue, or business opportunities
Loss of data or content
Business interruption
Reputational harm
Any other intangible losses
Claims arising from your use of AI-generated content
Third-party claims related to your real estate listings
Regulatory fines or penalties for non-disclosure

In no event shall our total liability exceed the amount you paid to us in the twelve (12) months preceding the claim, or $100 USD, whichever is greater. Some jurisdictions do not allow limitations on implied warranties or liability, so some of these limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless StagingGPT and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

Your violation of these Terms
Your User Content or use of generated content
Your violation of any third-party rights, including intellectual property or privacy rights
Your violation of any applicable laws or regulations
Any claims arising from your real estate listings or marketing materials
Your failure to properly disclose virtual staging
Any unauthorized use of your account

12. Termination

We reserve the right to terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including but not limited to:

Breach of these Terms
Suspected fraudulent, abusive, or illegal activity
Non-payment of fees
Extended periods of inactivity
Requests by law enforcement or government agencies
Discontinuation of the Service

You may terminate your account at any time by contacting us. Upon termination, your right to use the Service will immediately cease. Any unused credits may be forfeited upon termination for cause. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction.

You agree to waive any right to participate in a class action lawsuit or class-wide arbitration against us.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after any modifications constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must stop using the Service and may request account deletion.

15. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and StagingGPT regarding the Service and supersede all prior agreements, understandings, and communications, whether written or oral.
